Terms of Service

These Terms govern your use of BlackBird Terminal (the “Service”), operated by Tidal Systems LLC (“we”, “us”). By using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. What the Service is

BlackBird Terminal is software for viewing Solana market data and for building swap transactions that you review and sign in your own wallet. We are not a broker, exchange, custodian, money transmitter, investment adviser or fiduciary. We do not hold, control or have access to your funds or private keys, and we never execute a transaction without your signature.

2. No advice

Nothing in the Service, including BlackBird AI, charts, lists, labels, flags or scores, is investment, financial, legal or tax advice, or a recommendation to buy, sell or hold any asset. Information is general, the same for every user, and may be wrong, delayed or incomplete. You alone decide whether to trade.

3. Eligibility

  • You must be at least 18 and able to form a binding contract.
  • You may not use the Service if you are located in, or a resident of, a country or region subject to U.S. sanctions, or if you are on any U.S. sanctions list.
  • You are responsible for complying with the laws that apply to you where you live.

4. Fees

  • Swap fee. Each swap you make through the Service includes a software fee of 1% of the swap amount (0.75% for active BlackBird AI subscribers). The fee is shown before you sign and is collected on-chain as part of the transaction you approve.
  • Network fees. Solana network, priority and tip fees are paid to the network and its validators, not to us, and are non-refundable.
  • BlackBird AI. An optional subscription at $40 per month or $400 per year, billed in advance through Stripe.

5. Subscriptions, cancellation and refunds

  • You are charged when you subscribe, and your first billing period starts that day. Subscriptions renew automatically at the end of each period, at the same price, until you cancel.
  • You can cancel anytime from your account page in one step. Cancellation stops the next renewal; you keep access until the end of the period you paid for.
  • Switching from monthly to yearly takes effect immediately: you are charged the full yearly price that day, a new yearly period starts that day, your monthly charges end, and no credit is given for the unused part of the month. The amount is shown before you confirm. If that charge is declined, the switch does not happen and you stay on the monthly plan. Switching from yearly to monthly takes effect when your paid year ends, and monthly billing starts then.
  • If a payment fails, BlackBird AI is suspended right away until the payment goes through. Update your card or pay the open invoice from your account page to restore access. Stripe retries the payment for up to two weeks; if every retry fails, the subscription is canceled.
  • Payments are non-refundable, including for partial periods, except where the law requires a refund or where we decide to issue one. If you were charged in error, email support@blackbirdterminals.com within 30 days.
  • We may change prices with at least 30 days’ notice. A change applies from your next renewal.
  • Swap fees are part of confirmed blockchain transactions and cannot be reversed or refunded.

6. Your wallet and your transactions

You are solely responsible for your wallet, keys, seed phrase and every transaction you sign. Blockchain transactions are final. We cannot cancel, reverse or recover them, and cannot restore access to a wallet.

7. Risks

Trading crypto assets, and especially new tokens, is extremely risky. Prices can fall to zero within minutes; tokens can be scams, rug pulls or honeypots; transactions can fail, be front-run or fill at a worse price. See Risk & fee disclosure. You accept these risks.

8. Acceptable use

Don’t break the law with the Service, attack or overload it, scrape it at scale, reverse-engineer it, or use it to manipulate markets. We may suspend access that breaks these Terms.

9. Third parties

The Service relies on third parties such as wallets, decentralized exchanges and aggregators, RPC and data providers, and Stripe. We don’t control them and aren’t responsible for their availability, accuracy or conduct.

10. Disclaimers and limitation of liability

The Service is provided “as is” and “as available”, without warranties of any kind. To the maximum extent the law allows, Tidal Systems LLC is not liable for any trading losses, lost profits, or indirect, incidental or consequential damages. Our total liability for any claim is limited to the amount you paid us in subscription fees in the 12 months before the claim.

11. Changes and termination

We may update these Terms; we’ll post the new date above and, for material changes, give notice. You may stop using the Service at any time. We may suspend or end access for violations of these Terms.

12. Governing law

These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict-of-law rules. Courts in Mecklenburg County, North Carolina have exclusive jurisdiction.
